To the extent this License may be interpreted as a contract, You are granted the Licensed Rights in consideration of Your acceptance of these terms and conditions, and the Licensor grants You such rights in consideration of benefits the Licensor receives from making the Licensed Material available under these terms and conditions. SECTION 1 — DEFINITIONS As used in this License: "Adapted Material" means material subject to copyright or similar rights that is derived from or based upon the Licensed Material and in which the Licensed Material is translated, altered, arranged, transformed, or otherwise modified in a manner requiring permission under the copyright or similar rights held by the Licensor. For purposes of this License, Adapted Material includes any dataset, model, work, or output that incorporates, is trained on, fine-tuned on, or is otherwise derived in whole or in part from the Licensed Material, including but not limited to machine learning model weights, embeddings, and synthetic data generated using the Licensed Material. "Commercial Use" has the meaning set forth in Section 2. "Licensed Material" means the autonomous vehicle sensor data, annotations, labels, metadata, and associated documentation to which the Licensor has applied this License, published at torc-ai.github.io/TruckDrive and any mirrors or distributions thereof. "Licensed Rights" means the rights granted to You subject to the terms and conditions of this License, which are limited to all copyright and similar rights that apply to Your use of the Licensed Material and that the Licensor has authority to license. "Licensor" means Torc Robotics, Inc. and its affiliates. "Non-Commercial Use" means any use of the Licensed Material or Adapted Material that does not constitute Commercial Use as defined in Section 2. "Share" means to provide material to the public by any means or process that requires permission under the Licensed Rights, such as reproduction, public display, public performance, distribution, dissemination, communication, or importation, and to make material available to the public including in ways that members of the public may access the material from a place and at a time individually chosen by them. "You" or "Your" means the individual or legal entity exercising the Licensed Rights under this License. SECTION 2 — DEFINITION OF COMMERCIAL USE "Commercial Use" means any use, reproduction, distribution, or modification of the Licensed Material or any Adapted Material, directly or indirectly, in connection with any of the following: (a) any product, service, software, or system offered for sale, license, subscription, or other commercial arrangement to third parties; (b) internal research, development, testing, or validation activities conducted by or on behalf of any entity whose primary or substantial business involves the development, testing, commercialization, or deployment of autonomous, semi-autonomous, or driver-assistance vehicle systems, robotics systems, or related perception or planning software; (c) any activity intended to generate, or that does generate, revenue, monetary compensation, or material competitive advantage, whether directly or indirectly; or (d) use by any entity or individual acting as a contractor, consultant, or agent on behalf of any entity described in (a), (b), or (c) above, where the Licensed Material is used in connection with that engagement. The following are expressly NOT Commercial Use under this License: (i) academic research conducted at accredited, non-profit educational institutions, published or intended for publication in peer-reviewed venues, provided the Licensed Material is not used in connection with a commercial product or service; (ii) research conducted by government agencies and government-funded national laboratories for non-commercial governmental purposes; (iii) personal, hobbyist, or educational use by individuals with no intent to generate revenue from such use; and (iv) journalism and non-profit public interest research, provided no commercial product or service incorporates the Licensed Material or any Adapted Material. (v) benchmarking conducted for the purposes of academic or applied research publication, where the benchmarking results are not directly incorporated into a commercial product or service. SECTION 3 — LICENSE GRANT Subject to the terms and conditions of this License, the Licensor hereby grants You a worldwide, royalty-free, non-sublicensable, non-exclusive, irrevocable license to exercise the Licensed Rights in the Licensed Material to: (a) reproduce and Share the Licensed Material, in whole or in part, for Non-Commercial Use only; and (b) produce, reproduce, and Share Adapted Material for Non-Commercial Use only. The above rights are granted subject to the conditions in Section 4. Nothing in this License constitutes or may be construed as permission to assert or imply that You are, or that Your use of the Licensed Material is, connected with, or sponsored, endorsed, or granted official status by, the Licensor. SECTION 4 — LICENSE CONDITIONS Your exercise of the Licensed Rights is expressly made subject to the following conditions. 4(a) Attribution. You may satisfy the conditions in Section 4(a) in any reasonable manner based on the medium, means, and context in which You Share the Licensed Material. For example, it may be reasonable to satisfy the conditions by providing a URI or hyperlink to a resource that includes the required information. 4(b) Non-Commercial Use Restriction. You may not exercise the Licensed Rights for Commercial Use. If Your use of the Licensed Material constitutes Commercial Use, You must obtain a separate written commercial license from the Licensor before proceeding. See Section 7 and LICENSE-COMMERCIAL.txt. 4(c) No Motor Vehicle Records Queries. You may not use any vehicle license plate data contained in the Licensed Material to query any motor vehicle records database, whether maintained by a government agency or a private party, or to attempt to identify the owner, registrant, operator, or passenger of any vehicle. Any such use is a material breach of this License and will result in automatic termination under Section 8. 4(d) No Endorsement. You may not publicly represent or imply that the Licensor is participating in, has sponsored, approved, or endorsed the manner or purpose of Your use or reproduction of the Licensed Material without the Licensor's prior written consent. The Licensor may pursue, to the fullest extent of the law, any use of the Licensed Material that falsifies, misrepresents, disparages, or fraudulently uses the Licensed Material. 4(e) No Association. You may not use the Licensor's name, any trademark, official mark, logo, or other means of promotion or publicity without the Licensor's prior written consent, nor in any event to represent or imply an association or affiliation with the Licensor. 4(f) Compliance with Law. You are solely responsible for ensuring that Your use of the Licensed Material complies with all applicable federal, state, and local laws, including any applicable privacy, data protection, biometric, and motor vehicle records laws. You agree to take reasonable steps to assist the Licensor in fulfilling any obligations arising from Your use of the Licensed Material. 4(g) No Additional Restrictions. You may not apply legal terms or technological measures to the Licensed Material or Adapted Material that you Share that restrict recipients from exercising the rights granted under this License. 4(h) Downstream Recipients. Every recipient of the Licensed Material or Adapted Material from You automatically receives the same rights from the Licensor under this License. You may not impose additional or different terms or conditions on the Licensed Material that restrict exercise of the rights granted under this License. You are not responsible for enforcing compliance by third parties with this License. SECTION 5 — DATA CONTENT NOTICE The Licensed Material consists of annotated autonomous vehicle driving data collected on public roads in the United States, excluding footage collected in Illinois and California. The Licensed Material includes 3D and 2D annotations, calibration data, localization poses, and associated metadata. Raw sensor streams are not distributed as part of the Licensed Material. The annotation data references objects captured in public road environments. By downloading or using the Licensed Material, You acknowledge that You are aware of this and accept sole responsibility for compliance with all applicable laws governing Your use. SECTION 6 — DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY 6(a) Disclaimer of Warranties. UNLESS OTHERWISE SEPARATELY UNDERTAKEN BY THE LICENSOR, TO THE EXTENT POSSIBLE, THE LICENSOR OFFERS THE LICENSED MATERIAL AS-IS AND AS-AVAILABLE, AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE LICENSED MATERIAL, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHER. SECTION 7 — INDEMNIFICATION You agree to indemnify, defend, and hold harmless the Licensor and its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your use or misuse of the Licensed Material; (b) Your violation of this License; (c) Your violation of any applicable law; or (d) any third-party claim arising from Your use or distribution of the Licensed Material or any Adapted Material. SECTION 8 — TERM AND TERMINATION 8(a) This License applies for the term of the copyright and similar rights licensed here. However, if You fail to comply with this License, then Your rights under this License terminate automatically and immediately without notice. 8(b) Where Your right to use the Licensed Material has terminated under Section 8(a), it does not reinstate automatically. The Licensor reserves sole discretion over whether to reinstate terminated rights and is under no obligation to do so. 8(c) The Licensor may terminate Your rights under this License at any time, with or without cause, with or without notice, effective immediately. Upon termination for any reason, You must cease all use of the Licensed Material and destroy all copies in Your possession or control. 8(d) Sections 1, 2, 4(d), 4(e), 5, 6, 7, and 9 survive termination of this License. SECTION 9 — COMMERCIAL LICENSING The Licensor expressly reserves the right to license the Licensed Material for Commercial Use under separate written agreements. Nothing in this License shall be construed to limit the Licensor's ability to grant commercial licenses to other parties on any terms the Licensor chooses. This License is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. 10(b) Dispute Resolution. Any dispute arising out of or relating to this License or the Licensed Material shall be resolved exclusively in the state or federal courts located in New York County (Manhattan). You consent to the personal jurisdiction of such courts. Any cause of action arising out of or related to this License or the Licensed Material must be commenced within two (2) years after the cause of action arose; otherwise it is permanently barred. 10(c) Entire Agreement. This License, together with COMMERCIAL-USE- POLICY.txt, constitutes the entire agreement between You and the Licensor with respect to Your Non-Commercial Use of the Licensed Material. 10(d) Severability. If any provision of this License is found unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. 10(e) No Waiver. The Licensor's failure to enforce any provision of this License shall not constitute a waiver of its rights. 10(f) Amendment. The Licensor may amend this License from time to time at its sole discretion. Continued use of the Licensed Material following publication of an amended version constitutes acceptance of the amended terms. License versions are tracked in the repository's git history. 10(g) Assignment. The Licensor may assign its rights and obligations under this License without Your consent. You may not assign Your rights under this License. 10(h) No Agency. No agency, partnership, joint venture, or employment relationship is created as a result of this License, and neither party has authority to bind the other outside the terms of this License. 10(i) Third-Party Data. Certain components of the Licensed Material may include data derived from or provided by third parties subject to terms separate from this License. Where applicable, those terms are identified in THIRD-PARTY-NOTICES.txt and control in the event of any conflict with this License.
